1. Acceptance of Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Project Fortress, LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the Company’s website and any related online informational services (collectively, the “Site”). By accessing, browsing, or using the Site, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you may not use the Site.
2. Modification of Terms
The Company reserves the right to amend or update these Terms at any time in its sole discretion. Material changes will be posted on the Site with an updated effective date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. You are encouraged to review these Terms periodically.
3. User Eligibility and Account Management
You represent and warrant that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into these Terms. If you create an account or request a demo, you agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your account. The Company reserves the right to suspend or terminate your account at any time for violation of these Terms or for any reason in its sole discretion
4. Acceptable Use and Prohibited Activities
You agree to use the Site only for lawful purposes and in accordance with these Terms. You shall not:
a. Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site;
b. Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site, whether through hacking, password mining, or any other means;
c. Use any automated means (including robots, spiders, or data mining tools) to access or scrape the Site for any purpose without our express written permission;
d. Transmit or upload any viruses, malware, or other harmful code;
e. Violate any applicable local, state, national, or international law or regulation;
f. Infringe upon or misappropriate the intellectual property rights of the Company or any third party.
5. Intellectual Property
All content, software, text, images, graphics, logos, trademarks, and other materials available on or through the Site are the property of the Company or its licensors and are protected by intellectual property laws. No right, title, or interest in any content is transferred to you except as expressly provided in these Terms. You may not copy, modify, distribute, sell, or lease any part of the Site or its content without the Company’s prior written consent.
6. Service Availability, Modifications, and Support
The Company strives to ensure the Site is available and functional at all times but does not guarantee uninterrupted or error-free operation. The Company reserves the right to modify, suspend, or discontinue the Site or any part thereof at any time, with or without notice. The Company is not liable for any unavailability, modification, suspension, or discontinuance of the Site.
7. No Online Transactions or E-Commerce
The Site is provided solely for informational purposes and to facilitate communication between you and the Company. No purchases, subscriptions, or licenses for the Company’s services or software may be made directly through the Site or through any online mechanism, including but not limited to the Salesforce AppExchange listing. All commercial transactions, including without limitation any purchase, subscription, license, or service agreement, are subject to separate, custom-negotiated contracts (such as Master Service Agreements, Order Forms, or Statements of Work) executed in writing by the parties. No information provided on the Site constitutes an offer to sell or license any product or service, and no contractual relationship is created except as expressly set forth in a duly executed written agreement.
8. Privacy and Data Protection
Your use of the Site is subject to the Company’s Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms. The Company processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (“GDPR”) and relevant U.S. and UK laws. 9. Disclaimers
The Site and all content, materials, and services provided through the Site are offered “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, the Company disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not warrant that the Site will be secure, error-free, or uninterrupted, or that any defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Site; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Site; or (d) any bugs, viruses, or the like that may be transmitted to or through the Site by any third party, regardless of the theory of liability and even if the Company has been advised of the possibility of such damages. In no event shall the Company’s total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
12. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Johnson County, Kansas, and you hereby consent to the personal jurisdiction and venue of such courts. Notwithstanding the foregoing, the Company may seek injunctive or equitable relief in any court of competent jurisdiction.
13. International Users
The Site is controlled and operated by the Company from the United States. If you access the Site from outside the United States, you are responsible for compliance with all local laws and regulations. Users located in the EEA, UK, or other jurisdictions with specific data protection laws may have additional rights as described in our Privacy Policy.
14. Termination
The Company reserves the right to suspend or terminate your access to the Site at any time, without notice, for conduct that the Company reasonably believes violates these Terms or is otherwise harmful to the interests of the Company or other users.
15. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding your use of the Site.
